Board of Directors Meeting
August 21, 2012
CSIA Technology Center, Plainfield, IN

President Pilger called the meeting of the Chimney Safety Institute of America Board of Directors to order at 8:34 am Eastern. 

Directors Present: Eric Adair, Jim Bostaph, Randy Brooks, Chuck Hall, John Meredith, John Pilger, Jeff Schmittinger, Mike Segerstrom, Mark Stoner

Directors Absent: Steve Pietila (excused) and Bo Tasso (excused)

Staff Present:  Mark McSweeney, Melissa Heeke, Ashley Eldridge, Candice Bradbury, Debbie Cornelius and Art Garrett (via conference call)

John Pilger led the group in the Pledge of Allegiance and a moment of silence in honor of departed sweeps and military service people.
A motion was made by John Meredith and seconded by Jim Bostaph to approve the minutes of the May 2012 meeting. Voting in favor: All in favor. Motion carries.

President’s Report: As submitted by John Pilger.

Treasurer’s Report: As presented by Mark Stoner.

A motion was made by Randy Brooks and seconded by Eric Adair to accept the Treasurer’s report as presented. Voting in favor: All in favor. Motion carries.

Executive Director’s Report: As submitted by Mark McSweeney. He added that we will soon be launching a new format for the existing online educational offerings to allow for more flexibility. Ashley Eldridge added that he has recently been asked to be on the Building Performance Institute’s woodburning subcommittee.

Legal Report: As submitted by Art Garrett. A discussion was held regarding the upcoming biennial legal review. A discussion was held regarding potential future agreements with testing agencies.

A motion was made by Mark Stoner and seconded by Chuck Hall to accept the consent agenda as presented.  Voting in favor: all in favor. Motion carries.

Old Business - None submitted.

New Business
A discussion was held regarding the management of staff resources shared with the National Chimney Sweep Guild.
A motion was made by John Meredith and seconded by Chuck Hall to cover registration for past-Presidents to attend ESCHFOE meetings when declaring the intention one year in advance of the budget. Voting in favor: all in favor. Motion carries.

• Approval of the Fiscal Year 2012-2013 Budget
A motion was made by Jim Bostaph and seconded by Mike Segerstrom to approve the FY 2012-2013 budget as presented. Voting in favor: All in favor. Motion carries. 

A discussion was held regarding a proposal from Chimney & Venting Consultants.
A motion was made by Chuck Hall and seconded by Jim Bostaph that the CSIA may permit and license (under agreement with CSIA) outside vendors, approved by a duly delegated CSIA committee or representative, to use CSIA Certified Chimney Sweep and CSIA Certified Dryer Exhaust Technician review materials to present CSIA Certified Chimney Sweep and CSIA Certified Dryer Exhaust Technician review classes for certification and to administer and proctor the CSIA Certified Chimney Sweep and CSIA Certified Dryer Exhaust Technician certification testing. Voting in favor: Eric Adair, Jim Bostaph, Chuck Hall, John Meredith and Mark Stoner, Mike Segerstrom   Voting against: Randy Brooks, Jeff Schmittinger Abstaining: John Pilger Motion carries.

• Thomas Kezas appeal of restriction for trademark violation determination
Debbie Cornelius provided the board with an update on the Kezas trademark infringement case.

A motion was made by Chuck Hall and seconded by Mark Stoner to remove the two year restriction on Thomas Kezas and allow him to attempt to come into compliance by taking the CSIA Certified Chimney Sweep exam within 30 days of notification. Voting in favor: Eric Adair, Jim Bostaph, Randy Brooks, Chuck Hall, John Meredith, Jeff Schmittinger, Mike Segerstrom and Mark Stoner. Abstaining:  John Pilger. Motion carries.

November 13, 2012 at 9am Eastern (online and via conference call).
May 8, 9 and 10, 2013 at the CSIA Technology Center.

A motion was made by Randy Brooks and seconded by John Meredith to adjourn the meeting of the Chimney Safety Institute of America. Voting in favor: All in favor. Motion carries.
